A fiduciary duty gyökerei és alapja az Amerikai Egyesült Államok társasági jogában

A tanulmány a fiduciary duty rövid történeti bemutatását követően ennek a sajátos felelősségi formának a fogalom meghatározásával foglalkozik. A cikk a képviseleti jogviszonyban mutatja be a fiduciary duty lényeges tartalmi elemeit, ami azért fontos, mert a képviseleti jogviszony szabályain keresztül szivárgott be a társasági jogviszonyokba ez a felelősségi forma. Így fiduciary duty áll fenn a partnership tagjai között, a vezető tisztségviselőknek a társasággal szemben, és meghatározott esetekben a vezető tisztségviselőknek a tagokkal szemben. Ezt követően a general partnership és a corporation esetjogában kerül bemutatásra a fiduciary duty két nagy pillére: a duty of loyalty és a duty of care.

The Roots and Basics of the Fiduciary Duty in the Law of the American Business Organizations

The article introduces the historical development of the fiduciary duty and tries to give the definition of this common law liability form. The agency relationship is one of the main point where one should examine the fiduciary duty. On the other hand agency is the mechanism by which business organizations function. We speak about fiduciary relationship between the partners of a partnership, between the manager and the company, in some cases between the manager and the shareholders (or members) of a business organisation. The article review the two basic elements of the fiduciary duty: the duty of loyalty and the duty of care with the help of some famous case.
